DB INDUSTRIAL SUPPLIES (DBISP) TERMS AND CONDITIONS

I. DBISP STANDARD TERMS AND CONDITIONS

Please read these terms and conditions carefully. They contain important information concerning the customer’s (“Customer”) legal rights, warranties, obligations, and available dispute resolution remedies. They also provide that if DB Industrial Supplies (“DBISP”) is unable to resolve any matter to the Customer’s satisfaction, the Customer will exclusively use arbitration to decide the dispute on an individual basis and not in a class action or representative proceeding.

Except in instances where DBISP and a business Customer (“Business Customer”) enter into a separate written contract for the purchase of healthcare, IT products, or services providing for separate terms of sale, the following terms and conditions will apply. The term “Customer” includes individuals and Business Customers (including federal, state, local government, K-12 schools, universities, and commercial entities). DBISP reserves the right to revise these Terms and Conditions at any time.

A. SALES POLICY FOR PRODUCTS

1. Wholesale and Retail. DBISP sells its complete offering to Business Customers, government agencies, and individuals.

2. Prices. “Web Prices” displayed on our website are subject to these Terms of Sale, do not include freight, handling, taxes, or duties, and are subject to change without notice. Customers with specific contract pricing (e.g., government contracts) can view their applicable prices when logged into their accounts. Volume discounts may be available at DBISP’s sole discretion.

3. Sales Tax. Customer is responsible for all applicable state and local taxes, or for providing a valid sales tax exemption certificate prior to purchase.

4. Payment and Credit Terms. DBISP accepts major credit cards, checks, and EFT/ACH. For Customers with established DBISP credit, payment terms are net thirty (30) days from the date of invoice. Credit limits and extensions are at DBISP’s sole discretion. DBISP reserves the right to charge a late payment fee of 1.5% per month on unpaid balances.

5. Security Interest. Customer grants DBISP a first-priority purchase money security interest in the products until full payment is made.

B. DISPUTE RESOLUTION – ARBITRATION

Any dispute arising between DBISP and Customer relating to the purchase or use of any product or service will be resolved by binding arbitration, rather than in court, and solely on an individual basis. The Federal Arbitration Act applies. To begin an arbitration proceeding, Customer must send a letter requesting arbitration and describing its claim to DBISP’s legal department in Indianapolis, IN. The arbitration will be conducted by the American Arbitration Association (“AAA”).

C. FREIGHT POLICY

Products are shipped F.O.B. Origin with all costs imposed by the carrier paid by DBISP and charged to the Customer’s invoice. Title and risk of loss pass to the Customer upon tender of shipment to the carrier. If the product is damaged in transit, the Customer’s only recourse is to file a claim with the carrier.

D. PRODUCT WARRANTY POLICY

1. Satisfaction Guarantee. If not satisfied with a product, DBISP will promptly provide an exchange or refund if the product is returned within 30 days of the invoice date, with proof of purchase.

2. Limited Warranty. DBISP WARRANTS PRODUCTS AGAINST DEFECTS IN MATERIALS AND WORKMANSHIP UNDER NORMAL USE FOR A PERIOD OF ONE (1) YEAR AFTER THE DATE OF INVOICE. DBISP MAY, AT ITS OPTION: REPAIR, REPLACE, OR REFUND THE AMOUNT PAID.

3. Warranty Disclaimer. EXCEPT AS SET FORTH HEREIN, DBISP DISCLAIMS ANY EXPRESS OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. DBISP EXPRESSLY DISCLAIMS ANY LIABILITY FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL, INDIRECT, OR PUNITIVE DAMAGES.

4. Manufacturer’s Warranty. For specific manufacturer warranties on IT or healthcare supplies, please contact DBISP Customer Care.

E. PRODUCT INFORMATION

1. Catalog/Website Information. DBISP is a distributor. Product depictions are for illustrative purposes. DBISP reserves the right to correct pricing errors without notice and cancel orders resulting from such errors.

2. Safety Data Sheets (SDS). SDS for hazardous substances are supplied by manufacturers and are available online. DBISP MAKES NO WARRANTIES RESPECTING THE ACCURACY OF SDS INFORMATION.

3. Government Contracts & Country of Origin. In compliance with the U.S. Trade Agreement Act, product Country of Origin information is provided where applicable.

F. GENERAL TERMS

1. Independent Contractors. DBISP and Customer are independent contractors.

2. Force Majeure. DBISP shall not be liable for any delay or impairment of performance resulting from acts of God, labor disruptions, states of emergency, pandemics, supply chain shortages, or any other circumstance beyond reasonable control.

3. Governing Law. All transactions shall be governed by the laws of the State of Indiana. Venue shall be proper in the state or federal courts located in Indianapolis, Indiana.

II. TERMS OF ACCESS (WEBSITE AND MOBILE APP)

Welcome to the DBISP website and mobile application. The website, mobile application, and all content, software, and functionality offered are collectively referred to as the “DBISP Property.”

1. Your Right to Use DBISP Property

DBISP grants you a limited, non-exclusive, non-transferable license to access the DBISP Property solely for legitimate business or personal purchasing purposes. You will not modify any proprietary rights notices or dilute our brand.

2. User Accounts

To use certain features, you must register a “User Account.” You must provide accurate information and keep your password secure. You are solely responsible for activity on your account. DBISP is not liable for unauthorized use.

3. Uploading Images, Reviews, and Content

By submitting text, images, or other data (“User Content”), you grant DBISP a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and display such content. You are responsible for the legality and appropriateness of your User Content. You must not upload offensive, deceptive, or advertising materials.

4. Acceptable Use

You will not engage in activity that restricts others from enjoying the DBISP Property. You will not impersonate others, harass, discriminate, or violate third-party intellectual property rights. You may not scrape, data-mine, or extract DBISP Content using automated software, nor upload viruses or malicious code.

5. Intellectual Property Rights

All content provided by DBISP, including graphics, logos, text, and software (“DBISP Content”), is the property of DBISP or its licensors and is protected by intellectual property laws. You may not sell, modify, distribute, or copy DBISP Content for unpermitted commercial purposes.

6. Termination

DBISP may terminate this Agreement and suspend your User Account at any time, without notice, if we deem you have violated these Terms or the law.

7. Representations and Limitations of Liability

THE DBISP PROPERTY IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. DBISP MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. DBISP SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES RESULTING FROM THE USE OR INABILITY TO USE THE DBISP PROPERTY.

8. Privacy and Security

Any personal information collected through the DBISP Property will be maintained in accordance with our Privacy Policy. While DBISP cares about the security of your information, we cannot guarantee total security, and users provide information at their own risk.

9. Mobile Applications

If you access DBISP through a mobile application from the Apple App Store or Google Play Store, your use must also comply with their respective Terms of Service. Apple and Google are not responsible for the DBISP app, its content, or any product liability claims.

10. Dispute Resolution for Website Access

Any claims relating to your use of the DBISP Property will be resolved entirely through binding individual arbitration, governed by the Federal Arbitration Act and administered by the AAA. You and DBISP waive the right to a trial by jury and the right to participate in a class action.
